Welcome to Harken Innovations Private Limited (“Harken”, “we”, “our”, “us”). By accessing or using our website, software products, applications, or services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these Terms, please discontinue use of our services.
1. Services
Harken Innovations Private Limited provides the following services:
- Sale, licensing, and support of proprietary software products (including Kashbook)
- Subscription-based SaaS solutions
- Custom software development services
- Web application development
- Mobile application development (Android & iOS)
- Cloud-based and enterprise software solutions
- Software customization, maintenance, and technical support
- IT consultancy and related technology services
2. Acceptance of Terms
By registering an account, accessing our website, installing our applications, or using any service, you confirm that you are legally capable of entering into a binding agreement under Indian law and agree to comply with these Terms.
3. Account Registration & Security
- Users may be required to create an account to access certain services
- You are responsible for maintaining the confidentiality of your login credentials
- Harken shall not be liable for losses arising from unauthorized access due to user negligence
- You must notify us immediately of any suspected security breach
4. Subscription, Payments & Billing
- Subscriptions are billed monthly, quarterly, or annually in advance
- Subscriptions may renew automatically unless cancelled prior to renewal
- Payments are processed via authorized payment gateways
- Applicable taxes, including GST, will be charged as per Indian laws
- Failure to pay may result in suspension or termination of services
5. Refund & Cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy. Subscription fees are non-refundable once activated unless otherwise stated.
6. Proposals, Scope & Deliverables
Project scope, timelines, deliverables, and commercials will be defined in proposals or agreements. Changes beyond the agreed scope may result in revised timelines and additional costs.
7. Intellectual Property Rights
- All software, source code, designs, documentation, and trademarks remain Harken’s intellectual property until full payment
- Ownership and usage rights post-payment will be governed by the applicable agreement
- Products such as Kashbook remain the exclusive property of Harken Innovations Private Limited
- Users may not copy, modify, reverse-engineer, or distribute IP without written consent
8. User Obligations
- Do not use services for unlawful or unauthorized purposes
- Do not violate intellectual property rights
- Do not upload malicious code or attempt system breaches
- Do not misuse, resell, or exploit services without authorization
9. Data Privacy & Confidentiality
User data is handled in accordance with our Privacy Policy and applicable Indian data protection laws, including the IT Act, 2000 and DPDP Act, 2023.
While reasonable security measures are implemented, complete security cannot be guaranteed. Both parties agree to maintain confidentiality of proprietary information.
10. Service Availability & Support
- Services are provided on an “as is” and “as available” basis
- Uninterrupted or error-free operation is not guaranteed
- Temporary downtime may occur due to maintenance or third-party services
- Support is provided as per the subscribed plan or agreement
11. Third-Party Services
Harken is not responsible for failures, data loss, or outages caused by third-party tools, APIs, hosting providers, or platforms.
12. Disclaimer of Warranties
To the fullest extent permitted by law, all warranties—express or implied—are disclaimed, including fitness for a particular purpose or uninterrupted service.
13. Limitation of Liability
Harken shall not be liable for indirect or consequential damages. Total liability shall not exceed the amount paid by the user in the preceding 12 months.
14. Termination of Services
Services may be suspended or terminated for violation of these Terms, non-payment, or illegal activity. Access may be disabled immediately upon termination.
15. Force Majeure
Harken shall not be liable for delays caused by events beyond reasonable control, including natural disasters or government actions.
16. Assignment & Transfer
Harken may assign its rights and obligations as part of restructuring, merger, or acquisition without prior notice.
17. Amendments
We reserve the right to modify these Terms at any time. Continued use constitutes acceptance of the revised Terms.
18. Severability
If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect.
19. Governing Law & Jurisdiction
These Terms are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu.
